II. Overview of Responsibilities
This role will provide legal support for Liberty China’s daily operations, decisions, and product development; manage litigation and arbitration cases; review product terms and draft standard contract templates. The candidate will lead the China Legal function, ensuring strict adherence to regulations, local laws, and global standards. They will proactively manage executive stakeholders and enable agile business solutions while mitigating risks.
III. Key Responsibilities
1、Local Legal Support & Risk Control:
? Lead the legal function for Liberty in China, providing expert legal guidance on all matters relevant to the company’s commercial operations, insurance business, and the legal & regulatory environment in China.
? Provide legal and strategic input to executive management on the legal implications of business strategies and initiatives, proactively identifying legal risks and opportunities specific to the China market, and promoting practices that mitigate legal and regulatory exposure.
? Represent Liberty China in legal and business transactions and regulatory matters, exercising sound legal judgment where complex factual, legal, or precedent issues arise.
? Authorize legal instruments and security documentation relevant to the company’s business activities in China, as required.
? Manage, mentor, and develop the China legal team, including directing workflow, setting priorities, supervising internal and external legal resources, and managing engagement with outside counsel.
? Performing other related duties as assigned by the President, Liberty China or General Counsel, APAC.
2、Contract Negotiation and Management:
? Oversee the review, interpretation, drafting, negotiation, and approval of business and commercial agreements for the China business (e.g., confidentiality agreements, leases, distribution agreements, assignment deeds, and other contracts), ensuring compliance with local laws and business objectives.
? As necessary, develop/revise standard contract templates and contribute to the review of major local contracts, new business agreements and product terms.
? Provide legal input to product development across Liberty China’s product lines.
3、Litigation & Dispute Resolution:
? Lead Liberty China’s response to litigation, regulatory investigations, and government inquiries, including direct representation before regulatory and administrative bodies, and effective management of external legal advisors.
4、Policy & Training:
? Develop and maintain protocols, templates, and guidance notes and deliver training to support compliance with Chinese legal and regulatory requirements.
? Assist the Risk and Compliance function as required in respect of local initiatives, including providing or facilitating training for business teams on China’s regulatory requirements, company policies, and key risk areas.
5、APAC Integration:
? Collaborate with, and provide strategic support to, the LII APAC legal leadership team, assisting in group-wide projects, investigations, and legal initiatives as required.
? Work closely with regional and global management across Liberty Mutual as directed.
6、Corporate Governance & Regulatory Compliance:
? Serve as the primary legal compliance advisor to the Risk & Compliance functions and the broader business in China, with a focus on areas such as data privacy, anti-bribery/anti-corruption, sanctions, and insurance-specific regulations.
? Identify, analyze, and advise on legal and corporate risks unique to the China market, delivering clear recommendations and practical solutions to senior business leaders.
? Maintain strong relationships with regulators, industry bodies, and business partners to ensure Liberty’s interests are represented and the company remains abreast of legal developments in China.
? Foster a disciplined, ethical culture throughout Liberty China spreading awareness of financial crime risks and develop and deploy initiatives to ensure greater visibility and proactivity of these risks among employees and third parties
? Company secretary and corporate governance for all China legal entities
