主要職責(zé)：（基本功能）Principal Responsibilities:(Essential Functions)

Advising on Foreign Direct Investment structures in regions of Shanghai, Jiangsu and Zhejiang from legal perspective;
· 就外商直接投資所涉及的各種行業(yè)進行法律研究；
Conducting legal research in various industries relevant to foreign investment in China;
· 獨立處理外商投資企業(yè)的設(shè)立、變更和注銷（例如WFOE、FICE、JV、RO、branch等）；
Dealing with incorporation, alteration and de-registration of Foreign Invested
Enterprises (e.g. WFOE, FICE, JV, RO, Branch, etc.) independently;
· 根據(jù)要求參與合并和收購項目及盡職調(diào)查；
Participating in Merger & Acquisition projects and due diligence investigations projects according to the requirements ;
· 起草和審閱與客戶項目相關(guān)的各種協(xié)議及合同；
Drafting and reviewing a variety of agreements/contracts relating to clients’ projects;
· 協(xié)助代表客戶進行商務(wù)談判；
Assisting in commercial negotiations on behalf of clients;
· 解決外商投資企業(yè)在當(dāng)?shù)卣块T遇到的問題；
Solving problems encountered at local government authorities for Foreign Invested Enterprises;
· 處理與勞動相關(guān)的問題和糾紛；
Dealing with labor related matters and disputes;
· 在中外合資（合作）爭端解決中給出建議；
Advising on sino-foreign disputes settlement;
· 協(xié)助處理知識產(chǎn)權(quán)項目，如商標注冊和復(fù)議，專利注冊、知識產(chǎn)權(quán)戰(zhàn)略分析；
Assisting to Handle IP projects, e.g. trademark registration and appeal, patent
registration, IPR strategies;
· 對于上述事項，向部門初級顧問提供指導(dǎo)；
Providing guidance to Junior Associates of the Division on the matters stated above;
· 協(xié)助上級進行團隊管理和客戶維護；
Assisting the supervisor with team management and clients maintenance;
· 部門負責(zé)人分配的其他工作
Other work assigned by Department Head.

Solid legal knowledge on corporate laws and foreign investment related legislations;

教育背景Educational Background
· 法學(xué)專業(yè)，大學(xué)本科或以上學(xué)歷
Bachelor Degree or above, major in law
· 通過國家司法考試
PRC law qualified;

經(jīng)驗experience
· 至少一年相關(guān)領(lǐng)域的工作經(jīng)驗，若有在律師事務(wù)所或咨詢公司工作經(jīng)驗者優(yōu)先考慮
At least 1 year working experience in the related fields, preferably working
experience in law firm or consulting firm;
工作關(guān)系Working Relations
· 主要工作是在協(xié)力上海BAS部門提供咨詢服務(wù)。與上海及全國的其他部門（稅務(wù)、審計、財務(wù)及業(yè)務(wù)開發(fā)部門）積極合作及協(xié)調(diào)以成功開發(fā)客戶及完成客戶交付的工作。偶爾需要到江蘇和浙江出差。
Most work is carried out within the Business Advisory Services Division of Dezan Shira & Associates in Shanghai. Collaborating and coordinating with other departments (tax, audit, accounting, and business development) in both Shanghai and throughout China to win clients and produce client deliverables. Occasional short business trips to Jiangsu and Zhejiang will be required.
